These terms set out how a brand may apply for and use the ShonaDirect platform. The commercial terms for distributing a particular product are agreed separately and recorded against the brand.

These terms

These terms govern access to and use of the ShonaDirect platform, operated by Shona Prince Technologies ("Shona").

They cover the platform itself. The commercial terms on which Shona distributes a particular product, including pricing, distribution fees, settlement cycle and returns, are agreed separately per brand and recorded in the platform.

Applying for an account

A brand applies by submitting its company details, contacts and supporting documents. Shona reviews each application and may approve it, decline it, or ask for more information.

Approval is at Shona's discretion. No account is opened and no distribution obligation arises until an application is approved.

The applicant confirms that the details and documents provided are accurate, and that the person applying is authorised to act for the company.

Accounts and access

An approved brand may invite its own users and set each user's role. The brand is responsible for who it grants access to and for keeping credentials secure.

Shona may suspend access where it reasonably believes an account is being misused, where a legal or regulatory obligation requires it, or where an outstanding compliance question has to be resolved.

Products and review

A brand submits products with the information the platform requires. Shona reviews each submission and may approve it, decline it, or come back on the commercial terms.

The brand warrants that its products may lawfully be exported from their country of origin and imported and sold in the markets selected, and that the certifications it supplies are genuine and current.

Stock, shipping and inventory

Stock allocation, shipping responsibility, import duties, clearing costs and the point at which risk and title pass are set out in the commercial agreement for each brand.

The platform records shipment milestones, landed cost and the result of goods received at the Shona warehouse. Those records are the reference point for both parties.

Sales, data and settlement

Sales are captured through the Shona point of sale. The platform records units sold, the location of the sale and the inventory movement against it.

Each settlement period produces a statement showing units sold, gross sales, fees, returns and the net amount due. Payment follows the settlement cycle in the brand's commercial agreement.

Either party may query a statement within [PLACEHOLDER: query window]. Queries are resolved against the platform records.

Your data

A brand keeps ownership of its own product information, brand assets and company records. The brand grants Shona the licence needed to list, market and sell the products through the network, for as long as the agreement is in force.

Personal information is handled as described in the privacy policy.

Availability

Shona works to keep the platform available but does not guarantee uninterrupted access. Maintenance may require downtime, and Shona will give notice of planned maintenance where it reasonably can.

Liability

Ending the agreement

Either party may end the platform agreement on [PLACEHOLDER: notice period]. Stock already in the network, settlements owed and warranty obligations are handled as set out in the brand's commercial agreement.
